About these terms
These Terms and Conditions apply when you use www.yourtune.co.nz or purchase a personalised song from YourTune.
YourTune is operated by Darren Bird, trading as YourTune, in Auckland, New Zealand. In these terms, “YourTune”, “we”, “us” and “our” refer to the operator of YourTune.
By placing an order, you confirm that you have read and accepted these terms.
Nothing in these terms excludes or limits any rights or remedies you may have under the Consumer Guarantees Act 1993, Fair Trading Act 1986, Privacy Act 2020 or other applicable New Zealand law.

The YourTune service
YourTune creates personalised songs from the information customers provide.
Your order includes:

Original lyrics created from your story, memories and instructions

Your selected musical genre, mood, tempo and vocalist preference

A personalised song supplied as an MP3 file

Two rounds of revisions within the scope of your original brief
-
Delivery of the first version within 24 hours after we receive both payment and a complete song-details form
Each song is individually created using creative writing, human review and professional AI music-generation tools.

Placing an order
To order a song, you must:

Purchase the personalised-song product through our website.

Provide an accurate name and active email address.
-
Complete the song-details form with the information needed to create your song.
Production begins once we have received payment and enough information to understand and complete your brief.
If information is missing, unclear or contradictory, we may contact you for clarification. The 24-hour delivery period begins when we receive the information reasonably required to begin production.
A contract is formed when we accept your paid order. We may decline and refund an order if we reasonably believe we cannot fulfil it, it breaches these terms, or its content may be unlawful or harmful.

Customer-provided information
You are responsible for the accuracy and legality of the information you submit.
By submitting names, memories, photographs, phrases or other material, you confirm that:

You are entitled to provide and use that material for the song.

The material does not infringe another person’s rights.

The material is not unlawful, threatening, defamatory, discriminatory or deliberately misleading.

You have an appropriate basis for sharing personal or sensitive information about another person.

You will not knowingly submit confidential or highly sensitive information without the relevant person’s permission.
Please provide only the information reasonably needed to create the song.
You retain ownership of material you created and supplied to us. You give YourTune permission to use that material solely to create, revise, deliver and support your order.

AI-assisted creation and creative variation
YourTune uses AI music-generation technology as part of the creative and production process.
AI-generated music has natural variation. A regenerated or revised version may differ in arrangement, vocal delivery, instrumentation, pacing or musical interpretation, even when similar instructions are used.
We will use reasonable care and skill to follow your brief, but we cannot guarantee:

An exact match to a sample song

An exact imitation of a particular singer, band or copyrighted song
-
That a regenerated version will preserve every musical feature of an earlier version
-
A specific vocal identity, pronunciation or musical result beyond what the technology can reasonably produce
Natural creative variation is not automatically a fault. Your rights under New Zealand consumer law still apply where the service does not meet an applicable legal guarantee.

Revisions
Your order includes two rounds of revisions.
A revision round means one consolidated list of reasonable changes submitted at the same time. Revision requests should clearly identify what you want changed.
Included revisions may address:

Incorrect names, facts or details

Lyrics that do not accurately reflect the submitted story

Reasonable wording changes
-
Reasonable adjustments to the mood, style or presentation within the original brief
A revision does not include:

Changing the recipient or occasion
-
Replacing the original story with a substantially different story

Requesting a completely new song after the original brief was followed
-
Unlimited regeneration to compare different voices, genres or arrangements
-
Commercial production, mastering or editing services
A substantially new brief may require a new order.
Revision requests must be submitted within 14 days after delivery of the relevant version. If we do not receive a request within that period, the song will be treated as accepted and complete, subject to any rights you may have under New Zealand law.
We aim to deliver each revised version within 24 hours after receiving a clear and complete revision request.

Delivery
Songs are delivered as MP3 files to the email address supplied with the order.
The first version will normally be delivered within 24 hours after we receive:

Successful payment

A completed song-details form

Any clarification reasonably required to begin production
You are responsible for providing a correct email address and checking your spam or junk folder.
If delivery is delayed by a technical outage or another event outside our reasonable control, we will contact you as soon as reasonably possible. If we cannot meet an important agreed deadline, we will work with you to agree on a remedy, which may include continued production, redelivery or a refund where required by law.

Prices and payment
All prices are shown in New Zealand dollars.
Prices include GST where applicable. Because songs are delivered digitally, no physical shipping is required.
Payment is processed through the payment methods displayed at checkout. Third-party payment providers process card information; YourTune does not store your complete payment-card details.
Your order will not enter production until payment has been successfully received.

Cancellations, refunds and consumer rights
Because each song is created specifically for one customer, we are not required to provide a refund simply because a customer changes their mind after production has begun.
If you cancel before production begins, we will provide a full refund.
Once production has begun, a change-of-mind cancellation or refund is at our discretion. However, this does not limit your rights under the Consumer Guarantees Act 1993 or other New Zealand law.
Under the Consumer Guarantees Act, services supplied to consumers must meet applicable guarantees, including being carried out with reasonable care and skill, being fit for an agreed purpose and being completed within the agreed or a reasonable time.
If our service fails to meet an applicable guarantee, you may be entitled to have the problem remedied, receive a refund or exercise another remedy available under New Zealand law. The appropriate remedy depends on the nature and seriousness of the failure.
We will also remedy or replace a file if a technical fault prevents it from playing.
To report a problem, email info@yourtune.co.nz with your order details and a clear description of the issue. We aim to respond within three business days.

Personal-use licence
You retain ownership of the original material you supplied.
To the extent that YourTune owns or is entitled to license rights in the finished song, we grant you a non-exclusive, worldwide, ongoing, royalty-free licence to:

Download and keep the MP3

Give it to the intended recipient

Share it privately with friends and family
-
Post it on your personal, non-commercial social-media accounts
-
Play it at personal events such as birthdays, weddings, anniversaries, funerals, memorials and family gatherings

Make copies reasonably needed for those personal uses
Unless we agree otherwise in writing, you must not:

Sell, resell or sublicense the song
-
Monetise it on streaming, video or social-media platforms
-
Use it in paid advertising or business promotion
-
Use it as part of a commercial film, podcast, broadcast, product or service
-
Claim that the song was performed by a real artist who did not perform it
-
Use the song or associated material to train an AI or machine-learning system
Contact info@yourtune.co.nz before using a song commercially.
We will not publish your personalised song, story or identifying details in our advertising, samples or portfolio without your permission.

Website and brand content
The YourTune name, logo, website design, written content, graphics and other brand material may be protected by copyright, trademark or other intellectual-property rights.
You may not reproduce or commercially use that material without our written permission.
Song samples on our website are provided for demonstration. They must not be downloaded, copied, republished or commercially used without permission.

Privacy
We collect information needed to process orders, create songs, communicate with customers, provide support and meet our legal obligations.
This may include:

Your name and contact information

Order and payment-status information

The names, relationships, memories and other details supplied in your brief

Communications and revision requests

Technical information associated with use of our website
We may use service providers, including payment, website, email-storage and AI music-generation providers, to process information on our behalf. Some providers may process or store information outside New Zealand.
We will use, store and disclose personal information in accordance with the Privacy Act 2020 and our Privacy Policy.
You may ask to access or correct personal information we hold about you by contacting info@yourtune.co.nz.

Liability
Nothing in this section limits liability or remedies that cannot legally be limited, including applicable rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1986.
Where liability can legally be limited:

We are not liable for indirect or consequential loss that was not reasonably foreseeable.

We are not liable for a delay or failure caused by circumstances outside our reasonable control.

For purchases made for business purposes, our total liability relating to an order is limited to the amount paid for that order.
You are responsible for losses caused by material you submit in breach of section 4.

Complaints and disputes

We will try to resolve the matter directly and aim to respond within three business days.
If a dispute cannot be resolved, either party may use an appropriate New Zealand dispute-resolution process. The New Zealand Disputes Tribunal can hear eligible claims up to its current jurisdictional limit.
These terms are governed by New Zealand law, and New Zealand courts and tribunals have jurisdiction.

Changes to these terms
We may update these terms to reflect changes to our service, business practices or legal obligations.
The terms applying to your purchase are those published when your order is accepted, unless a later change is required by law or you agree to it.
The latest version will be published on our website with its effective date.

General
If any part of these terms is found to be invalid or unenforceable, the remaining terms continue to apply.
If we do not immediately enforce a provision, that does not waive our right to enforce it later.
These terms, the order information, our Privacy Policy and any written agreement relating to your order form the agreement between you and YourTune.
